On October 31, 2007, PTC and CoCreate jointly announced that we entered into an agreement that PTC will acquire CoCreate. The acquisition was approved by German regulatory authorities and officially closed on November 30th.

PTC recognizes that you have made a significant investment in CoCreate solutions, and rely upon these solutions to help drive critical business processes within your company. PTC and CoCreate have worked together to build an integration plan that will enable CoCreate to grow and thrive within PTC.

PTC’s goal is to enable its customers to realize significant business value through the use of our solutions. We plan to extend this driving principle to all CoCreate customers upon the close of the acquisition, in order to build upon the benefits you have already achieved by using CoCreate solutions. PTC, together with our new CoCreate employees, intends to deliver on the following commitments:

• PTC is committed to driving the satisfaction of all CoCreate customers.

• PTC is committed to protecting your investment in CoCreate solutions. Customers should feel confident in the investments they have already made, and prospective customers should feel confident in the future of the CoCreate solutions they are considering purchasing and implementing.

• PTC plans to maintain, enhance and further develop all CoCreate products indefinitely, including OneSpace Modeling, OneSpace Drafting, OneSpace Model Manager, OneSpace Drawing Manager, OneSpace Live! and OneSpace.net.

• PTC plans to continue to offer all CoCreate solutions as stand-alone offerings.

• PTC plans to integrate CoCreate solutions with complementary PTC solutions. Following an initial integration period, we will make these complementary solutions available to you. If you choose, you may take advantage of PTC’s complementary capabilities in engineering calculations, simulation, CAM, technical publications (including illustrations), visualization, and enterprise content and process management.

We are excited about the potential of the combination of PTC and CoCreate. We intend to make every effort to ensure that CoCreate’s existing and potential customers benefit from this acquisition.
